1. Agreement to Terms

By accessing or using HOA Manager ("the Service"), operated by HOA Manager ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

HOA Manager is a software-as-a-service platform that helps homeowner association boards manage resident communications, architectural review requests, and governing documents. The Service includes AI-powered features that generate draft responses and recommendations.

3. Accounts and Access

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old to use the Service.

4. Subscriptions and Billing

  • The Service is offered on a monthly subscription basis with a 14-day free trial.
  • Billing is handled through Stripe. By subscribing, you authorize recurring charges to your payment method.
  • You may cancel at any time through the billing portal. Cancellations take effect at the end of the current billing period.
  • We reserve the right to change pricing with 30 days' notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Upload content that is harmful, defamatory, or infringes on the rights of others.
  • Attempt to gain unauthorized access to any part of the Service.
  • Reverse-engineer, decompile, or disassemble any aspect of the Service.
  • Use the Service to send spam or unsolicited communications.

6. Your Content

You retain ownership of all data and content you upload to the Service, including documents, messages, and community information. By using the Service, you grant us a limited license to process your content solely to operate and improve the Service.

7. AI-Generated Content

The Service uses artificial intelligence to generate draft responses, recommendations, and document analysis. AI outputs are suggestions only and should be reviewed by your board before any action is taken. We do not guarantee the accuracy, completeness, or legal sufficiency of AI-generated content.

8. Availability and Support

We strive to keep the Service available and reliable but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, HOA Manager shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless HOA Manager, its officers, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a reasonable period after termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
